Woofun AI reports that Nasdaq-listed Cosmos Holdings has issued a going-concern warning, casting doubt on its ability to survive the next 12 months amid a 46% crash in its crypto treasury. This existential risk stems from an August 2025 financing agreement with ATW Digital Asset Opportunities VII, which enabled the issuance of senior secured convertible notes.
The financial mechanics of this capital raise involve an initial $8 million note carrying a $720,000 original-issue discount and 9% annual interest, alongside $736,250 in direct issuance costs. Per Woofun AI, $644,219 remained restricted for future crypto purchases as of June 30, while assets acquired with note proceeds are subject to collateral and custody arrangements securing the financing. The broader facility allows for up to $300 million in senior secured convertible notes.
Operationally, the company reported an $8.89 million net loss and consumed $2.79 million in operating cash during the first half. With only $1.80 million in unrestricted cash at the end of June, revenue proved insufficient to cover operating expenses and meet debt obligations. This liquidity shortfall underscores the severity of the going-concern warning beyond mere crypto valuation losses.
Equity dilution has accelerated dramatically, with Cosmos issuing 22.9 million shares in the first half to settle $4.52 million in principal and interest. Another 20.48 million shares were issued post-quarter to satisfy $3.69 million in obligations, leaving just $82,500 of principal outstanding. Consequently, the outstanding share count surged from 41.07 million at the end of 2025 to roughly 100.6 million by Aug. 18.
