Woofun AI reports that Olenox is navigating a critical liquidity crisis while executing a strategic pivot toward off-grid Bitcoin mining, complicated by the recent acquisition of CS Digital.
The Aug. 19 quarterly filing highlighted a working-capital deficit of about $22.9 million, stemming from $3.40 million in total current assets as of June 30. Operational hashrate averaged 1.02 EH/s, representing 64% of the fleet's economic capacity, a figure attributed to summer heat, low-power-mode operation, and normal equipment availability. Current liabilities were not solely immediate debt but included $14.
55 million in accounts payable and accrued expenses, alongside lease current maturities, amounts due to affiliates, credit lines, derivative liabilities, convertible notes, short-term notes, and current maturities of long-term debt. Olenox stated that these losses, negative working capital, and negative operating cash flows raised substantial doubt about its ability to continue as a going concern, noting it had no committed sources of additional financing at June 30 and might have to delay or curtail planned activities if capital remained unavailable.
Woofun AI data shows the CS Digital acquisition imposed a separate fixed obligation, with preliminary upfront consideration totaling $30 million. This payment structure comprised $14 million in Series E preferred stock and $16 million in unsecured promissory notes, plus warrants and potential contingent stock consideration. From the May 26 acquisition through June 30, CS Digital generated $1.45 million in revenue but posted a $564,104 net loss. The final July hosting bill remains the missing bridge between headline production and cash generation for this period.
In contrast to the off-grid strategy, July's miners operated at third-party Texas facilities using grid power. Olenox's long-term plan involves converting its own natural gas into off-grid compute at a targeted cost below $0.02 per kilowatt-hour, a model that was not reflected in the month's results.
