This sequence is unusual, as it prioritizes the mechanics of trading an existing asset over the creation of new ones. The rules for trading and hedging are already producing live products, whereas the regulations that would enable founders to finance new assets must still navigate public comments and another SEC vote before they can take effect.
This regulatory split impacts global platforms and offshore markets differently, illustrating how heavily fast Bitcoin repricing travels through derivatives while the domestic true-perpetual market is still being constructed. Global platforms have long utilized perpetual contracts, but the US market has historically lagged in adopting this specific instrument. The approval allows domestic exchanges to offer products that mirror those available internationally, reducing arbitrage opportunities and enhancing price discovery.
However, the absence of clear fundraising rules means that while trading infrastructure expands, the pipeline of new assets entering the US market remains constrained by legal ambiguities.

Derivatives moved first because the CFTC could place them within an established exchange system. A designated contract market already has requirements covering capital and customer protection, along with systems for clearing and trade surveillance. The commission only needed to determine whether a particular contract complied with these existing duties, avoiding the need to invent a new kind of company or a complete legal framework for every issuer.
In contrast, token fundraising asks the SEC to resolve a broader and more complex set of issues. The agency needs rules for what issuers disclose, how much they can raise, which financial statements they must provide, and how buyers can resell the token. It must also decide when a token can separate from the investment contract used to finance it and whether federal rules override state registration requirements. These questions touch on the core of securities law, requiring careful consideration of investor protection and market integrity.
