The dilution mechanics reveal a stark contrast between asset accumulation and share count growth. While the treasury added 1,110 Bitcoin, effective common shares—defined as Class A plus Class B stock—surged 4.24%, climbing from 86,037,123 to 89,683,423. Consequently, Bitcoin per effective common share rose a mere 1.19%, moving from 0.000235317 BTC to 0.000238127 BTC. Even under the assumed fully diluted measure, which includes options and unvested employee awards but excludes 26,596,010 shares underlying traditional warrants, the gain was only 1.34%. Per Woofun AI, these structural shifts demonstrate how rapid issuance can neutralize the impact of large-scale crypto purchases on individual equity value.
Cost pressures further eroded net benefits, driven by preferred stock obligations and SATA share dynamics. The company incurred an estimated $5.74 million in annualized preferred dividends, calculated using the 13% annualized rate described as current on Aug. 10 and SATA's $100 stated amount. By Aug. 21, outstanding SATA shares totaled 8,270,815, reflecting a weekly increase of 441,313. Because the dividend rate is variable, this cost remains fluid, yet Strive's Bitcoin Yield disclosure explicitly excludes preferred stockholders' senior claims on dividends and assets, allowing modest common-share accretion to coexist with a larger preferred claim base.
Liquidity metrics added another layer of ambiguity regarding capital allocation. Cash and cash equivalents rose by $17.1 million during the week, reaching $171.9 million.
However, the filing does not establish that the common-share increase or new SATA shares financed the Bitcoin purchase, meaning the simultaneous changes should not be treated as proof of a funding link.
