The financial architecture of this alliance is defined by substantial equity stakes rather than simple procurement contracts. According to SEC 8-K filings, Marvell will issue options covering up to 7% of its shares, with full exercise valued at approximately $12.2 billion. These options unlock gradually as cumulative revenue from customized products reaches $120 billion. Upon full exercise, Google will secure its position as Marvell's fifth-largest shareholder, cementing a deep strategic linkage that transcends traditional vendor-client dynamics.
Strategically, this partnership embeds Marvell deeply within Google's TPU ecosystem without displacing existing main TPU designs. Marvell is tasked with developing specialized components, including AI inference accelerators, network interface controllers (NICs), and in-memory computing solutions. This arrangement allows Google to implement a multi-supplier strategy, positioning Marvell as one of the few entities capable of supplying customized chips to all three major cloud giants: Amazon, Microsoft, and Google.
